Job Description:

This Contracts Specialist will be responsible for managing, drafting, and negotiating various documents, including commercial contracts, amendments, renewals, non-disclosure agreements, and third-party contracts. This role ensures compliance with company policies and legal requirements. The ideal candidate is detail-oriented, possesses strong analytical skills, and can work collaboratively with various departments. Additionally, this role involves effectively communicating and explaining the company’s contracting policies both internally and externally.

Contract Management

  • Review, draft, and negotiate various sales contracts, including SaaS and Software License Agreements, maintenance and support agreements, vendor agreements, non-disclosure agreements, amendments, and other commercial agreements.  
  • Review and draft responses to customer RFPs as needed.  
  • Develop and update internal contract templates and forms.  
  • Ability to draft bespoke contracts on an ad-hoc basis.  
  • Maintain accurate records of all contracts and related documentation.  
  • Monitor contract performance and ensure timely renewals and extension amendments.  
  • Identify and escalate non-standard, complex matters to appropriate internal resources.  
  • Collaborate with internal teams, including sales, finance, professional services, support, and security teams to address contract-related issues.  
  • Complete assigned work with speed and accuracy.

Process Improvement

  • Utilize Contract Lifecycle Management (DocuSign CLM and DocuSign AI) to streamline contracting processes.  
  • Support legal operations to improve contract management efficiency and ensure alignment with business goals.  
  • Assist in developing and implementing contract management processes and best practices with the use of AI and other tools.  

Additional Responsibilities

  • Work on additional projects and initiatives as directed by the Assistant General Counsels or Deputy General Counsel.  
  • Perform every task with a customer service focus.  
  • At least 3 years of post-graduation experience in contract management, preferably in the software industry.  
  • Strong understanding of contract law and legal terminology.  
  • Experience with RFP processes, Contract Lifecycle Management (DocuSign CLM) and CRM (SalesForce) tools.  
  • Proficiency with use of AI tools
  • Excellent negotiation, communication, and interpersonal skills.  
  • Detail-oriented with strong analytical and problem-solving abilities.  
  • Ability to work independently and as part of a team in a fast-paced environment.  
  • Juris Doctorate degree is not a requirement, but a plus.
